Terms of Service
Last updated: 16 June 2026 · Effective immediately for all users of AppDock.
1. Who we are
AppDock ("AppDock", "we", "us", "our") is a digital marketplace owned and operated by Intelligent Matrix s.r.o., a company registered in the Czech Republic with its registered office in Prague, Czech Republic. References to "Platform" mean the AppDock website, web application, APIs and any related services.
2. Acceptance of these Terms
By creating an account, listing an app, submitting an inquiry, completing a transaction, or otherwise using the Platform, you agree to be bound by these Terms of Service, our Privacy Policy, our Cookie Policy and our GDPR Notice. If you do not agree, you must not use the Platform.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts. If you act on behalf of a company, you confirm that you are duly authorised to bind that company.
4. Accounts
You are responsible for: (a) the accuracy of the information you provide; (b) safeguarding your credentials; and (c) all activity under your account. You must notify us immediately at security@appdock.market of any unauthorised access.
5. Marketplace role of AppDock
AppDock is a neutral intermediary. We facilitate discovery, communication, valuation, escrow and transfer between independent sellers and buyers. We are not party to the sale of any app and we do not guarantee the quality, legality, accuracy or value of any listing.
6. Listings (Sellers)
- You may only list apps, products, source code, domains or related assets that you own or are duly authorised to sell.
- Listing fee: tiered by asking price — €49 (Starter, up to €50,000), €149 (Growth, up to €100,000), €349 (Premium, up to €500,000), €495 (Enterprise, €500,001 and above). Fees are non-refundable once the listing is published, except where AppDock rejects the listing (full refund within 5 business days).
- Success fee: a tiered success fee — 15% on sale price up to €25,000, 10% on the portion between €25,001 and €100,000, and 5% on the portion above €100,000 — deducted automatically from escrow upon release.
- You must disclose material facts honestly, including revenue, traffic, ownership of intellectual property, third-party dependencies and known defects.
- We may reject, edit or remove any listing that breaches these Terms, our content guidelines or applicable law.
7. Purchases (Buyers)
- You are responsible for performing your own due diligence before completing a purchase.
- Funds are held in a regulated escrow account and released to the seller only when both parties confirm successful transfer, or after the dispute window expires without a valid dispute.
- Once an asset transfer is confirmed and funds are released, the sale is final.
8. Escrow
Escrow services are provided by AppDock or its licensed payment partners. Funds are segregated from operating funds. Standard inspection period is 7 calendar days from the documented transfer of assets. Disputes raised within this period are reviewed by AppDock's dispute team; our determination is binding for release of funds but does not preclude either party's external legal remedies. Disputes may be raised at disputes@appdock.market.
8a. Escrow Provider
Escrow is provided exclusively by Stripe Payments Europe Ltd, an authorised payment institution under PSD2. AppDock does not hold client funds at any time.
8b. DAC7 Compliance
AppDock is a Reporting Platform Operator under Council Directive (EU) 2021/514. AppDock collects and annually reports seller identity and income data to Czech tax authorities (Finanční správa) by 31 January each year. This information is automatically exchanged with all EU member states' tax authorities. This obligation cannot be waived by the seller.
9. Freelancer Network
Freelancers offering services (audits, valuations, integrations, migrations) through AppDock act as independent contractors. AppDock charges a service fee on each freelancer engagement, disclosed at booking. AppDock is not the employer of any freelancer.
10. Referral programme
Verified referrers earn 3% of the net success fee on any successfully closed deal originating from their unique referral code. Payouts are issued monthly subject to a minimum balance of €50. Self-referrals and fraudulent activity result in forfeiture and account suspension.
11. Prohibited content and conduct
You must not list, transfer, request or facilitate: stolen code, infringing intellectual property, malware, spyware, cracked or pirated software, anything used for fraud, unlawful gambling, child sexual abuse material, anything subject to sanctions, or anything that violates applicable export control or AML/CTF regulations.
12. Intellectual property
You retain ownership of content you upload but grant AppDock a worldwide, royalty-free, non-exclusive licence to host, display, reproduce and distribute it solely to operate and promote the Platform. The AppDock name, logo and Platform software are the property of Intelligent Matrix s.r.o.
13. AI-generated content
AppDock uses artificial intelligence (including large language models) to generate descriptions, valuations, the AppDock Score and chatbot responses. AI output is provided "as is" and may contain errors. It does not constitute legal, financial, tax or investment advice. You remain responsible for verifying all material information before transacting.
14. Fees, taxes and invoicing
All fees are stated exclusive of VAT unless otherwise indicated. Czech VAT is added where applicable. You are responsible for declaring and paying any taxes due in your own jurisdiction. Invoices are issued electronically.
15. Disclaimers
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, AppDock disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability.
16. Limitation of liability
To the maximum extent permitted by law, AppDock's aggregate liability arising out of or in connection with these Terms shall not exceed the greater of (a) the total fees you paid to AppDock in the twelve (12) months preceding the event giving rise to the claim, or (b) €500. AppDock shall not be liable for indirect, incidental, consequential, special or punitive damages.
17. Indemnity
You agree to indemnify and hold harmless AppDock, Intelligent Matrix s.r.o., and their officers, employees and agents against any claim arising from your breach of these Terms, your content, or your transactions on the Platform.
18. Termination
We may suspend or terminate your access at any time for breach of these Terms, suspected fraud, or to comply with law. You may close your account at any time from your dashboard; obligations that by their nature should survive (fees, indemnity, IP, liability) shall survive termination.
19. Governing law and jurisdiction
These Terms are governed by the laws of the Czech Republic, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The competent courts of Prague have exclusive jurisdiction, subject to the mandatory consumer-protection rights of users domiciled in the EU.
20. Changes
We may update these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
